Der OGH hat bereits festgehalten, dass eine treuwidrige Stimmabgabe eines Gesellschafters zur Anfechtung des Gesellschafterbeschlusses f\u00fchren kann. Die hierf\u00fcr notwendige Verletzung der Treupflicht wurde in einzelnen Entscheidungen bereits umrissen.<\/p>\n<p>Grunds\u00e4tzlich sieht das H\u00f6chstgericht eine Zustimmungsverpflichtung eines Gesellschafters als letztes geeignetes Mittel an. \u00dcberdies hat der Beschluss im Interesse der Gesellschaft unbedingt notwendig zu sein und dieser muss dem widerstrebenden Gesellschafter auch zumutbar sein.<\/p>\n<p>Aus der gegenst\u00e4ndlichen Entscheidung ist zus\u00e4tzlich hervorzuheben, dass ein Gesellschafter sich nicht blo\u00df deswegen einem Beschluss zu unterwerfen hat, weil durch diesen kein Schaden f\u00fcr die Gesellschaft zu erwarten ist. Ebenso wenig ist im Hinblick auf die Treuepflicht eines Gesellschafters die Ablehnung des Beschlusses zu begr\u00fcnden.<\/p>\n<p>Nachdem es sich bei der Erf\u00fcllung der Anfechtungsvoraussetzungen stets um eine Einzelfallbetrachtung handelt, ist auch in Zukunft die Rechtsprechung des OGH weiterhin aufmerksam zu verfolgen.
