OGH, 6 Ob 65\/24p<\/a>: Jedem Gesellschafter steht gegen\u00fcber der Gesellschaft ein Informationsrecht zu, welches alle Angelegenheiten betreffen kann. Die Aus\u00fcbung dieses Rechtes ist an keine Anteilsh\u00f6he gebunden.<\/p>\n

Dieses Informationsrecht ist nicht beschr\u00e4nkt auf die Gesellschaft, an welcher unmittelbar Gesch\u00e4ftsanteile gehalten werden. Dar\u00fcber hinaus sind auch Angelegenheiten von den Unternehmen erfasst, an welchen die Gesellschaft beteiligt ist. Die Rechtsaus\u00fcbung ist jedoch derart begrenzt, dass die verlangten Ausk\u00fcnfte objektiv relevant f\u00fcr die auskunftspflichtige Gesellschaft sein m\u00fcssen. Sofern der Gesellschafter Informationen von verbundenen Unternehmen begehrt, hat er diese explizit zu benennen und sein berechtigtes gesellschaftsrechtliches Interesse darzulegen. Die Informationsverschaffungspflicht der Gesellschaft sowie der Informationsanspruch des Gesellschafters in Bezug auf verbundene Unternehmen enden dort, wo auch der Informationsanspruch der GmbH gegen\u00fcber dem anderen Unternehmen seine Grenze hat.<\/p>\n

Die Rechtsprechung ist aus unserer Sicht daher nur klarstellend. Das Recht des Gesellschafters auf Information ist, selbstverst\u00e4ndlich, mit dem Recht, das der Gesellschaft selbst zukommt, begrenzt.<\/p>\n\n\t\t<\/div>\n\t<\/div>\n\n\t\t<\/div>\n\t<\/div>\n\t<\/div>\n\n<\/div>\n<\/div>\n\n
